"MANDALAY BAY'S LOS ANGELES CLIPPERS VIP SWEEPSTAKES" SWEEPSTAKES ("Sweepstakes") starts at 12:00:01 p.m. (PST) on November 25, 2009 and ends at 11:59:59 a.m. (PST) on January 31, 2010 for on-line entry and on January 31, 2010 for the postmarking of a mail-in entry (collectively the "Entry Period"). The sponsor of this Sweepstakes is Mandalay Bay Resort and Casino, 3950 Las Vegas Blvd S., Las Vegas, Nevada, 89119, (the "Sponsor"). The Sweepstakes shall be subject to these Official Rules, and by entering, all participants agree to be bound by the terms and conditions herein. Certain restrictions may apply. This promotion is subject to NRS 463.362.
ELIGIBILITY: NO PURCHASE IS NECESSARY TO ENTER OR WIN. You must be a legal resident of the United States of America (exclusive Puerto Rico and all U.S territories and possessions which are not eligible) and be twenty-one (21) years of age or older at the time of entry to win. Employees of MGM MIRAGE and their respective parent, subsidiary or affiliated companies, advertising, promotion, and fulfillment agencies, and the immediate families of each and those living in the household of same are ineligible to participate in this Sweepstakes. All applicable federal, state and local laws and regulations apply. Sweepstakes is void in Puerto Rico and all U.S. territories and possessions and wherever prohibited or restricted by law.

HOW TO ENTER BY MAIL: To enter by Mail, on a 3" x 5" card handprint your first and last name, street address, city, state, zip code, mobile phone number with area code, birth date and email address. Mail your completed entry to Mandalay Bay Resort & Casino Attn: Robert Hoffmann (Hotel Marketing), 3950 Las Vegas Blvd. S., Las Vegas, NV 89119. All Mail-in Entries must be postmarked by January 31, 2010 and received by February 10, 2010. One entry is allowed per person (with a valid e-mail address) regardless of entry method used, and any subsequent entries will not be eligible. Entries which are late, lost, stolen, mutilated, tampered with, illegible, incomplete, mechanically reproduced, inaccurate, postage due, forged, irregular in any way or otherwise not in compliance with these Official Rules will be disqualified. All entries become the property of the Sponsor and will not be acknowledged or returned.

STEP 1: Fill in the form in its entirety in order to be eligible, and then click on the "Enter Sweepstakes" button.
STEP 2: You will receive a text message shortly after signing up and you MUST reply with "MBYES" to confirm your entry or you will not be entered into the Mobile program.
HOW TO ENTER BY MOBILE MESSAGE – MOBILE PHONE: To enter the mobile messaging program via your mobile device during the Entry Period, follow these steps.
STEP 1: TEXT "CLIPPERS" to 31449.
STEP 2: You will receive a text message and you MUST reply "MBYES" to confirm or you will not be entered into the Mobile program. Standard message and data rates may apply.
All Online and Mobile Entries must be received by 11:59 a.m. PST on January 31, 2010.
WINNER SELECTION: There will be one (1) winner determined by a random drawing from all eligible entries received to be held on or about February 10, 2010 by representatives of Sponsor. In the event the potential winner does not qualify or is not willing to accept the prize, there will be an alternate winner drawing from among eligible entries. All decisions of Sponsor are final and binding. Odds of winning depend upon the number of eligible entries received and are equal regardless of method of entry.
THE PRIZE AND ESTIMATED VALUE OF THE PRIZE: A total of one (1) PRIZE WILL BE AWARDED IN THIS SWEEPSTAKES: One (1) first prize consists of a "MANDALAY BAY'S LOS ANGELES CLIPPERS VIP SWEEPSTAKES" and includes: Three (3) nights stay in a fabulous THEhotel suite, roundtrip coach air fare for two (2) from the major US or Canadian gateway city airport closest to the winner's home to Las Vegas, NV, Limo Service to and from the airport in Las Vegas, two (2) tickets to a participating show at Mandalay Bay, two complimentary passes to Mix Lounge, Two (2) complimentary Spa passes with a $300 Spa Treatment credit, $300 Gift Card to the Shoppes at Mandalay Place, $50 Beverage Credit at Eyecandy, Autographed Los Angeles Clipper memorabilia and weekend access for two to the private House of Blues Foundation Room. The total approximate retail value of the prize is $2,417 (actual value based on travel dates selected). Note: all additional meals, gratuities, excursions, incidentals, travel to Las Vegas, additional ground transportation in Las Vegas and any other expenses not specified herein as being awarded are the sole responsibility of the Prize winner and their travel companion. Travel and lodging are subject to availability, certain restrictions and black out dates apply. All travel must be completed by December 31, 2010. No changes may be made to travel details once any portion of travel arrangements has been made. Sponsor is not responsible for changes in schedule of any element of the Prize. No substitution or cash equivalent of prizes granted except at Sponsor's sole option of a prize of comparable or greater value. No prize transfers permitted. PRIZES ARE AWARDED "AS IS" AND WITHOUT WARRANTY OF ANY KIND EXPRESSED OR IMPLIED.
NOTIFICATION OF WINNER: The potential prize winner will be notified by TEXT, message, or telephone. If the potential prize winner cannot be reached within five (5) business days (i.e. Monday thru Friday excluding any United States or State of Nevada holidays), another eligible entry will be drawn and another potential prize winner will be notified. Subsequent eligible entries will be drawn as provided for above until an eligible prize winner is reached and such eligible prize winner has submitted and returned all necessary documents as provided for herein. Each winner must show valid state issued driver's license or other identification as evidence of identity. All federal, state, and local taxes are the prizewinner's sole responsibility.
AFFIDAVIT OF ELIGIBILITY, LIABILITY RELEASE AND PUBLICITY RELEASE: Each prize winner will be required to complete, execute and send back to the Mandalay Bay Resort & Casino, Hotel Marketing department an affidavit of eligibility, a liability release, an IRS W-9 form and (except where prohibited) a publicity release within fourteen (14) days of issuance or an alternate winner may be selected. This affidavit will be sent out to the potential winner by UPS 2 day delivery, which will include the affidavit and a postage paid envelope to send back the affidavit. In addition, the prize winner's travel companion will be required to be twenty-one (21) years of age or older at the time of winner notification and will be required to execute and return a release of liability form within this same time period. Upon receiving and approving the required documents, the prize certificate will then be sent to the winner. Failure to comply with these rules will cause the prize to be forfeited. TERMS AND CONDITIONS: BY ENTERING THIS SWEEPSTAKES, EACH PARTICIPANT AGREES TO RELEASE AND HOLD HARMLESS MANDALAY BAY RESORT & CASINO, ITS PARENT, SUBSIDIARY AND AFFILIATED COMPANIES AND THEIR RESPECTIVE EMPLOYEES, OFFICERS, DIRECTORS AND SHAREHOLDERS, ADVERTISING AND PROMOTION AGENCIES, CONSULTANTS AND ANY OTHER COMPANIES PARTICIPATING IN THE PROMOTION, ADMINISTRATION OR FULFILLMENT OF THIS SWEEPSTAKES (COLLECTIVELY THE "RELEASEES") FROM ANY AND ALL LIABILITY, CLAIMS, LOSS, DAMAGE TO PERSONS OR PROPERTY, COSTS, EXPENSES AND ACTIONS OF ANY KIND RELATED TO OR ARISING OUT OF THIS PROMOTION OR RESULTING FROM THE ACCEPTANCE OR USE OF ANY OF THE PRIZES AWARDED, INCLUDING BUT NOT LIMITED TO PERSONAL INJURY, PROPERTY DAMAGE, INVASION OF THE RIGHT OF PRIVACY OR PUBLICITY.
LIMITATIONS ON LIABILITY: Releasees shall not be liable to winner or any other person for failure to supply the prize or any part thereof, by reason of any acts of God, any action(s), regulation(s), order(s) or request(s) by any governmental or quasi-governmental entity (whether or not the action(s), regulations(s), order(s) or request(s) prove(s) to be invalid), equipment failure, terrorist acts, earthquake, war, fire, flood, explosion, unusually severe weather, hurricane, embargo, labor dispute or strike (whether legal or illegal), labor or material shortage, transportation interruption of any kind, work slow-down, civil disturbance, insurrection, riot, or any other cause beyond Sponsors' sole control. Releasees shall not be responsible for any cancellations, delays, diversions or substitutions or any act or omissions whatsoever by the air carrier(s), hotel(s), or other transportation companies or any other persons providing any of these services and accommodations to passengers including any results thereof such as changes in services or accommodations necessitated by same. Releasees shall not be liable for any loss or damage to baggage.
CHANGE OF ADDRESS POLICY: It is the sole responsibility of the entrant to notify Mandalay Bay Resort & Casino of a change in his/her phone numbers, and/or email address by emailing sweepstakes@mandalaybay.com of such change during the applicable sweepstakes period.
GENERAL: Entrants release and waive any claims they may have against Releasees for any and all injuries, claims, damages, losses, costs, or expenses of any kind (including without limitation attorney's fees) resulting from acceptance, use, or misuse of any prize or element thereof, or participation in this Sweepstakes.
If for any reason this Sweepstakes is not capable of running as planned, or if this Sweepstakes or any web site associated therewith (or any portion thereof) becomes corrupted or does not allow the proper playing of the Sweepstakes and processing of entries in accordance with these rules, or if infection by computer virus, bugs, tampering, unauthorized intervention, actions by entrants, fraud, technical failures, or any other causes, in the Sponsors' sole opinion, corrupts or affects the administration, security, fairness, integrity, or proper conduct of this Sweepstakes, the Sponsors reserve the right, at their sole discretion, to disqualify any individual implicated in such action and/or to cancel, terminate, modify, or suspend this Sweepstakes or any portion thereof. In the event this Sweepstakes is cancelled, the Sponsors will conduct a random drawing to award all prizes from among all eligible, non-suspect entries received prior to the time of the action or event warranting such cancellation. If such cancellation, termination, modification, or suspension occurs, notification will be posted at the Entry Site. ANY ATTEMPT BY AN ENTRANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEB SITE (INCLUDING THE ENTRY SITE) OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND/OR CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, THE SPONSORS RESERVE THE RIGHT TO SEEK DAMAGES AND OTHER REMEDIES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW. If a dispute arises about who submitted an entry on the Entry Site, the entry will be deemed submitted by the authorized account holder of the e-mail account entered. The authorized account holder is deemed the natural person who is assigned to an e-mail address by an Internet access provider, service provider, or other online organization that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. A potential winner may be requested to provide the Sponsors with proof that the potential winner is the authorized account holder of the e-mail address associated with the winning entry and that all eligibility requirements are met. NOTE: Internet entry must be made by the entrant, only at the Entry Site. Entries made by any other individual or any entity, and/or originating at any other web site or e-mail address, including but not limited to commercial sweepstakes subscription notification and/or entering service sites, will be declared invalid and disqualified for this Sweepstakes. The use of any device to automate the entry process is prohibited.

WINNERS LIST: The winner's name may be obtained by sending a self-addressed stamped envelope to Mandalay Bay Resort & Casino, Hotel Marketing Department, 3400 Las Vegas Blvd. S., Las Vegas, NV 89109. All winner list requests must be received by February 28, 2010.
